Public Foundation Elge Qaitaru demands to verify the circumstances of the acquisition by JSC NC KazMunayGas.

Public Foundation “Elge Qaitaru” shares the pain and aspi­ra­tions of the strik­ing oil work­ers of the Mangistau region and con­sid­ers it nec­es­sary to find a mutu­al­ly accept­able com­pro­mise solution.

We believe that the roots of the prob­lem lie, per­haps, in the offences com­mit­ted dur­ing the acqui­si­tion in 2011 of Joint Stock Company NC “KazMunayGas” 100% par­tic­i­pa­tion inter­est in the autho­rised cap­i­tal of “Aktaunefteservice” LLP.

Cooperative KMG PKI UA, a 100% sub­sidiary of JSC NC KazMunayGas, was the direct buy­er of Aktaunefteservice LLP. The val­ue of the trans­ac­tion amount­ed to 334 mil­lion US dollars.

Aktaunefteservice LLP was a hold­ing-type organ­i­sa­tion, which owned 100% stakes in the fol­low­ing legal entities:

- OilServiceCompany LLP (well drilling, well workover and under­ground repair, chem­i­cal­i­sa­tion of oil pro­duc­tion process­es, etc., employ­ing about 3,300 people);

- OilConstructionCompany LLP (con­struc­tion and engi­neer­ing works, con­struc­tion of indus­tri­al facil­i­ties, pow­er lines, roads; instal­la­tion and dis­man­tling of drilling equip­ment, about 2,100 employees);

-OilTransportCorporation LLP (tech­no­log­i­cal trans­port at Mangistaumunaigas fields, car­go deliv­ery and trans­port of employ­ees, about 2,600 employees);

-Mangistauenergomunai LLP (oper­a­tion and main­te­nance of elec­tri­cal equip­ment of Mangistaumunaigas, employ­ing about 700 people);

-Munaytelecom LLP (telecom­mu­ni­ca­tions in the fields of Mangistaumunaigas, employ­ing about 700 people).

Earlier on the pub­licly avail­able Internet there was a pub­li­ca­tion that the real own­er of LLP “Aktaunefteservice” and accord­ing­ly the ulti­mate ben­e­fi­cia­ry of the trans­ac­tion for the amount of 334 mil­lion U.S. dol­lars is T.A. Kulibayev, for­mer at the time of the trans­ac­tion chair­man of the board of Samruk-Kazyna, which includes JSC NC “KazMunayGas”.

If this infor­ma­tion is true, it is a direct cor­rup­tion offence.

Probably, to hide the traces of this trans­ac­tion, the man­age­ment of JSC NC KazMunayGas first organ­ised a “5/50” cam­paign, which led to a sharp decline in the real incomes of the com­pa­ny’s employ­ees with the depri­va­tion of all mea­sures of social sup­port. This was fol­lowed by a reverse pri­vati­sa­tion of the divi­sions of Aktaunefteservice LLP, which had pre­vi­ous­ly been pur­chased for $334 mil­lion. West Oil Software, whose work­ers have been on strike for more than 70 days, emerged from these actions. Although some strik­ing work­ers say they have been work­ing there for 30 years, some have had fathers and grand­fa­thers work­ing there.

Even though the statute of lim­i­ta­tions on crim­i­nal lia­bil­i­ty has not yet passed, nei­ther JSC NC “KazMunayGas”, nor the law enforce­ment agen­cies have react­ed to ear­li­er appeals by rep­re­sen­ta­tives of civ­il soci­ety regard­ing the acqui­si­tion of Aktaunefteservice LLP.

In con­nec­tion with the above, the Public Foundation Elge Qaitaru asks you to ver­i­fy the cir­cum­stances of the acqui­si­tion by JSC NC KazMunayGas of 100% of the share of par­tic­i­pa­tion in the autho­rised cap­i­tal of Aktaunefteservice LLP. Take mea­sures to recov­er 334 mil­lion US dol­lars and direct this amount to solve the prob­lems of strik­ing oil work­ers of the Mangistau region.
